Code of Conduct
Mentors
1. Compliance with Code of Conduct: Upon joining EcoMastery Hub and periodically thereafter, Mentors must adhere to the Code of Conduct and any updates to it, which include the following points:

1.1. Mentors must not engage in any activities under EcoMastery Hub if they are prohibited or restricted from doing so, including instances where such participation (i) violates any law or regulation; (ii) breaches obligations to any third party, including employment agreements, company manuals, and codes of ethics; or (iii) results in a conflict of interest or suspected conflict. If a conflict arises during an ongoing engagement, the Mentor must cease the engagement.

1.2. Mentors are prohibited from disclosing, using, or attempting to benefit from any information related to an engagement.

1.3. During engagements, Mentors may receive personal data, including information about mentees. Mentors must comply with all applicable personal data protection laws, including the Personal Data Protection Act 2012, and agree to indemnify and hold EcoMastery Hub harmless from any claims, damages, losses, fines, or penalties resulting from breaches of this clause.

1.4. Mentors must not disclose confidential information, including trade secrets, proprietary information, intellectual property, and other sensitive data. They must honor all confidentiality obligations to third parties, arising from non-disclosure agreements, severance agreements, and other contracts.

1.5. Mentors must not perform any unlicensed regulated activities during engagements and must protect information covered by professional standards and requirements.

1.6. If a Mentor is an employee, officer, or director of a company, they must not participate in engagements during sensitive company transactions (e.g., IPOs, mergers, or tender offers) unless it is clearly established that the engagement is unrelated to such transactions.

1.7. Mentors must make required compliance declarations and undertakings before each engagement.

1.8. Mentors must ensure that all information provided to EcoMastery Hub is accurate and not misleading. They must promptly update EcoMastery Hub about any significant changes to this information, including their CV and background details.
​
1.9. Mentors must confirm their ability to participate in a specific engagement based on their understanding of the engagement’s subject matter before it begins.
​
2. Refusal to Answer Questions: Mentors are informed that they can refuse to answer mentee questions and report any questioning that might violate their ethical, legal, regulatory, and contractual obligations.
3. Background Checks: EcoMastery Hub may conduct background checks on Mentors, such as identity verification, fact-checking CVs, profiles, or resumes, and confirming the absence of past securities, criminal, or regulatory violations or ongoing litigation. Mentors agree to cooperate and provide necessary assistance and information for these background checks.

Mentees
4. Compliance with Code of Conduct: During all engagements, Mentees must adhere to EcoMastery Hub's Code of Conduct and any updates to it, which include the following guidelines:

4.1. Mentees must not engage in any behavior that could lead to or support a Mentor in breaching their compliance undertakings or other legal obligations. This includes, but is not limited to, requesting confidential, proprietary, intellectual property-related, trade secret, or material non-public information.

4.2. Mentees acknowledge and agree that Mentors have the right to refuse to answer their questions and to report any inquiries that might violate the Mentor’s ethical, legal, regulatory, or contractual obligations.

4.3. Mentees must not disclose confidential information, including trade secrets, proprietary information, intellectual property, and other sensitive data. They must honor all confidentiality obligations to third parties, arising from non-disclosure agreements, severance agreements, and other contracts.
